Tomás Vázquez Lépinette, founding partner of Tomarial and professor of Commercial Law at the University of Valencia, has written "Contractual aspects of startups", a new publication edited by Tirant lo Blanch. This publication is part of the editorial's collection of legal research monographs and is prefaced by Professor Francisco Vicent Chuliá.
As explained on the back cover of the book, this work of Tomás Vázquez Lépinette It aims to “give a panoramic view of the contractual aspects of the startup phenomenon in its three key moments: birth, growth and exit or failure. In particular, the partners' agreements and the usual financing contracts in traffic are analyzed, taking into account the recent Law 28/2022, of December 21, to promote the ecosystem of emerging companies. It is a work that combines practical aspects through the study of the clauses used in corporate practice and the applications of Law 28/2022, of December 21, cited above, with doctrinal aspects, inserting the phenomenon of startups in its legal and economic context. All this with the purpose of helping the reader to understand the contrasting interests of the different participants in a startup and to facilitate its regulation, avoiding or limiting the possibility of conflicts and maximizing the value of the startup. "
